Exercise of Options and Total Voting Rights
The Company announces that certain Directors and persons discharging managerial responsibilities ("PDMRs") below exercised their options on 25th July 2016 on a total of 35,047 Ordinary Shares, under the Deferred Bonus Scheme. No amount was payable on the exercise of these awards.
In addition to the exercise of options by Directors and PDMRs, other current and former employees exercised options on 25th July 2016 on a total of 12,734 Ordinary Shares, under the Deferred Bonus Scheme. No amount was payable on the exercise of these awards.
Together with the exercise of options from Directors and PDMRs, the total number of Ordinary Shares to be issued is 47,781.

Application has been made for the admission of the 47,781 new Ordinary Shares to listing on the Official List and to trading on the main market of the London Stock Exchange Plc. The admission of such shares is expected to become effective on 1st August 2016 ("Admission").
Following Admission, in accordance with the FCA's Disclosure and Transparency Rule 5.6.1(R) the total number of Ordinary Shares in issue will be 93,808,450 with each share carrying the right to one vote. No Ordinary Shares are held in treasury. Therefore, the total number of voting rights in the company will be 93,808,450.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in McKay Securities PLC under the FCA's Disclosure and Transparency Rules.
