BLOCK LISTING OF SHARES
McKay Securities Plc (the "Company") announces that an application has been made to the Financial Conduct Authority and the London Stock Exchange plc for a block listing of 1,328,927 ordinary shares of 20 pence each in the capital of the Company (the "Shares") to be admitted to the Official List of the Financial Conduct Authority and to be traded on the main market of the London Stock Exchange ("Admission").
The Shares will be issued pursuant to the automatic vesting and exercise of awards for nil consideration under the McKay Performance Share Plan 2017 and the McKay Deferred Bonus Scheme 2017 (each as amended from time to time), in each case, conditional on the sanction by the High Court of Justice in England and Wales (the "Court") of the proposed scheme of arrangement to be made between the Company and its shareholders under Part 26 of the Companies Act 2006 pursuant to which Workspace Group PLC will acquire the entire issued, and to be issued, share capital of the Company (the "Scheme"). As previously announced by the Company, the Court's sanction of the Scheme is expected to be obtained on 4 May 2022 following a hearing before the Court.
Separate announcements will be issued as appropriate in respect of any vesting and exercise of awards by directors or PDMRs of the Company.
When issued, these Shares will rank pari passu with the existing ordinary shares of 20 pence each in the capital of the Company. It is expected that Admission will become effective at 8.00 a.m. on 5 May 2022, assuming the Court sanctions the Scheme on 4 May 2022. Following Admission, the Company's issued share capital will comprise 91,418,240 ordinary shares of 20 pence each (with no shares held in treasury) and, therefore, the total voting rights in the Company will be 91,418,240. This figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or any change in their interest in the Company, under the FCA's Disclosure and Transparency Rules.
This notification is provided in accordance with paragraph 3.3.5R of the FCA's Listing Rules and paragraph 5.6.1R of the FCA's Disclosure and Transparency Rules.
