("the Company" or "McKay Securities")
Exercise of Options and Total Voting Rights
The Company announces that certain Directors and persons discharging managerial responsibilities ("PDMRs") below exercised their options on 18th June 2019 on a total of 114,397 Ordinary Shares. This follows the partial vesting of awards on the expiry of the three year performance period under the 10th Grant of the 2007 McKay Performance Share Plan and the expiry of the three year holding period in respect of the 2016 Deferred Bonus awards. No amount was payable on the exercise of these awards.
In addition to the exercise of options by Directors and PDMRs, other current and former employees exercised options on 18th June 2019 on a total of 25,176 Ordinary Shares, under the 10th Grant of the 2007 McKay Performance Share Plan. No amount was payable on the exercise of these awards.
Together with the exercise of options from Directors and PDMRs, the total number of Ordinary Shares to be issued is 139,573.
Application has been made for the admission of the 139,573 new Ordinary Shares to listing on the Official List and to trading on the main market of the London Stock Exchange Plc. The admission of such shares is expected to become effective on 24th June 2019 ("Admission").
Following Admission, in accordance with the FCA's Disclosure and Transparency Rule 5.6.1(R) the total number of Ordinary Shares in issue will be 94,263,998 with each share carrying the right to one vote. No Ordinary Shares are held in treasury. Therefore, the total number of voting rights in the company will be 94,263,998.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in McKay Securities PLC under the FCA's Disclosure and Transparency Rules.
