Mission Capital PLC10 August 2007 10 August 2007 Mission Capital Plc (the "Company") Deferred consideration payable and Total Voting Rights The Company is pleased to announce that sufficient progress has been made withone of the principal contracts of its subsidiary, Karspace Management Limited("KML"), such that, pursuant to the terms of the KML share purchase agreement,the Board has authorised the release of the remaining £100,000 in cash and theissue to the vendors of KML of 1,481,481 new ordinary shares of 1p each (the"New Ordinary Shares"). In addition to these New Ordinary Shares, 283,871 New Ordinary Shares arepayable as part of the deferred consideration due in accordance with the termsof the share purchase agreement referred to in the Company's interim resultsannouncement on 25 June 2007. Application has therefore been made to AIM for theadmission to trading of a total of 1,765,352 New Ordinary Shares. Upon issue,the New Ordinary Shares will rank pari passu with the Company's existingordinary shares and dealings are expected to commence therein on 15 August 2007. Following the admission to trading on AIM of the New Ordinary Shares, theCompany's issued share capital will consist of 103,067,126 ordinary shares witha nominal value of 1p each, with voting rights ("Ordinary Shares"). The Companydoes not hold any Ordinary Shares in Treasury. Therefore the total number ofOrdinary Shares in the Company with voting rights will be 103,067,126. The above figure of 103,067,126 Ordinary Shares may be used by shareholders inthe Company as the denominator for the calculations by which they will determineif they are required to notify their interest in, or a change to their interestin, the share capital of the Company under the Financial Service Authority'sDisclosure and Transparency Rules.
