VOTING UPDATE STATEMENT

At JPMorgan Multi-Asset Growth & Income Plc's (the "Company") Annual General Meeting (AGM) held on 4th July 2023, the Company received the following negative votes (as a proportion of the total votes cast) in respect of resolution 12:

The against vote was detailed in the Company's RNS Announcement of 4th July 2023 together with the result of the poll at the annual general meeting and reference to the action that the Company would take to consult the shareholders that voted against the resolution and understand their reasons.

At the time of the vote on the resolution, the Company was not aware of any attempts by shareholders that voted against the resolution to make contact with the Company. Therefore, after the results, the investor relations team of the Company's Manager, JPMorgan Funds Limited, made efforts to identify dissenting shareholders in order to open a dialogue and understand their concerns. This resulted in contact being made with the significant dissenting shareholder and a constructive exchange of views is ongoing.

As well as the continuing communication with the shareholder, the Manager and the Board continue to maintain regular contact with the Company's Broker and appraised of current developments in the investment trust industry.
