PDMR Shareholding
The Company announces that it has been notified that, pursuant to the issue of warrants to placees in the placing announced on 7 July 2017 ("Warrants"), David Rowe, Chairman, elected to exercise 2,142,857 Warrants on 14 August 2018. Each Warrant entitles David Rowe to subscribe for one ordinary share of 1 penny each in the capital of the Company ("Ordinary Shares") at a price of 3.5 pence per Ordinary Share. Following the transaction David Rowe's total shareholding in the capital of the Company is 14,473,286 Ordinary Shares, representing 8.08 per cent. of the total voting share capital.
Pursuant to the exercise of the Warrants, application has been made to the London Stock Exchange for 2,142,857 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective on or around 21 August 2018.
Following Admission, the Company's issued share capital will comprise of 179,235,708 Ordinary Shares of 1 penny each with voting rights in the Company. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in the interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
