Company name and ticker changes
MAIL.RU GROUP LIMITED (LSE и MICEX-RTS: «MAIL») (hereinafter referred to as «VK» or «Company»), one of the largest Internet companies in the Russian-speaking Internet market, announces that pursuant to the Articles of Association of the Company a written resolution has been passed on November 29, 2021 by the members of the Company holding shares which represent at least 65% of the total number of votes attached to the issued and outstanding shares, approving changes to the Memorandum of Association and the Articles of Association.
The only amendment is the change of the Company's name from Mail.Ru Group Limited to VK Company Limited.
The respective resolution and the new version of Memorandum of Association and the Articles of Association have been filed on the National Storage Mechanism appointed by the Financial Conduct Authority and will shortly be available at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
The new version of the Memorandum of Association and the Articles of Association is available on https://vk.company/ru/investors/management/.
The Company also announces the change in the ticker for the GDRs of the Company trading on LSE and Moscow Exchange MICEX-RTS, which will be changed from MAIL to VKCO. Starting from December 14, 2021 GDRs will be traded on LSE and Moscow Exchange MICEX-RTS as VKCO.
These changes are being made as part of the rebranding of the Group into VK announced on October 12, 2021 and have no effect on the ongoing business, strategy, management or internal processes of the Group.
