MACFARLANE GROUP PLC - APPOINTMENT OF NEW CHAIRMAN

Macfarlane Group PLC ("Macfarlane") is pleased to announce the appointment of Graeme Bissett as Chairman of the Board with effect from 8 May 2012. Graeme has served as a non-executive director of Macfarlane since 2004 and chairs the Audit Committee. Graeme is currently Chairman or non-executive director of a number of other listed and private companies. 

As announced in Macfarlane's preliminary announcement of results on 6 March 2012, Archie Hunter, the current Chairman intends to retire at the Annual General Meeting ("AGM") to be held on 8 May 2012. Graeme will take over as Chairman at the conclusion of the AGM.

Archie Hunter, Chairman, today said:

"It has been a pleasure and privilege to serve as a member of the Macfarlane Board since 1998 and as Chairman since 2004. Our Nominations Committee led by Kevin Mellor, Senior Independent Director, has undertaken a rigorous process including the consideration and interview of both internal and external candidates, resulting in the selection of Graeme Bissett as Chairman. 

"Graeme is an experienced businessman, with a deep understanding of Macfarlane Group's operations and strategy. He has all the qualities to lead Macfarlane Group to its next stage of development. I am very pleased that he has agreed to succeed me as Chairman of Macfarlane when I retire as planned in May."

Graeme Bissett, Chairman designate, today said:

Graeme Bissett joined the Macfarlane Board on 11 May 2004 as a non-executive director. Graeme has considerable financial experience, having previously been the finance director of international groups and a partner with Arthur Andersen. Graeme is currently Chairman or non-executive director of a number of listed and private companies in a range of sectors. He is Chairman of Children 1st, the children's welfare charity, and is a member of the Council of the Institute of Chartered Accountants of Scotland.

As Graeme is an existing director of Macfarlane, there are no disclosures pursuant to paragraphs 9.6.13 (1) to 9.6.13 (6) of the Listing Rules in relation to this appointment.
