ICG-Longbow Senior Secured UK Property Debt Investments Limited (the Company)

Change of management arrangements

As set out in the interim report for the six months ended 31 July 2020, subject to regulatory approval, the Board of Directors resolved to appoint ICG Alternative Investment Limited as the Company's external discretionary investment manager under the Alternative Investment Fund Managers Directive (AIFMD).

Regulatory approval has now been granted and the Board is pleased to announce the Company has appointed ICG Alternative Investment Limited as external discretionary investment manager.

Previously the Company was internally managed by the Board, after receiving advice from Intermediate Capital Managers Limited (an affiliate of ICG Alternative Investment Limited), under the terms of a non-discretionary investment advisory agreement. This agreement has now been terminated. The fees payable to ICG Alternative Investment Limited under the new arrangements are at the same rate as those previously payable to Intermediate Capital Managers Limited.

The transition from being internally-managed to being externally-managed also requires the Company to appoint a depositary, and accordingly Ocorian Depositary (UK) Limited has been appointed depositary to the Company.
