Directors’ Share Dealing

On 29 June 2015 the Company was notified that Sir M H Heller, Chairman of the Company, sold 100,000 ordinary shares of 10p each in the Company (“Ordinary Shares”) at a price of 37.5p. Sir M H Heller’s wife, Lady Heller, also sold 100,000 Ordinary Shares at a price of 37.5p. Metroc Limited, a private company controlled by Sir M H Heller, purchased these 200,000 Ordinary Shares at the same price.

Following this transaction, Sir M H Heller and his wife together have a beneficial interest in 6,353,541 Ordinary Shares representing 7.48% of the issued share capital of the Company.

Sir M H Heller and his family have an interest in 48,009,556 Ordinary Shares of the Company representing 56.5% of the issued share capital.

The Company holds 567,952 Ordinary Shares in treasury and has 84,974,759 Ordinary Shares in issue (excluding treasury shares). 84,974,759 represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
