Exercise of options and Director/PDMR shareholding
Keywords Studios, the international technical services provider to the global video games industry, today announces the exercise of options due to expire over a total of 150,095 ordinary shares of 1 pence each in the Company by Andrew Day and sale of Ordinary Shares, as detailed further below.
Andrew Day, Chief Executive Officer, yesterday exercised 150,095 options over Ordinary Shares dating from the time of the Company's IPO in 2013. Of these 150,095 options, 86,593 were awards granted on 8 July 2013 under the terms of the Company's long term incentive plan ("LTIP") and were due to expire on 8 July 2020 and 63,502 were awards granted on 12 July 2013 under the terms of the Company's EMI stock option plan ("SOP") and were due to expire on 12 July 2020. Mr Day has sold the shares issued to him pursuant to these LTIP and SOP option exercises at a price of 1,770p per Ordinary Share, in part to cover personal income tax and other liabilities arising from the exercise of the options. As a result, Mr Day's interest in the Company's share capital remains unchanged at 3,296,573 Ordinary Shares, equivalent to 4.5 per cent. of the Company's issued share capital. Following this exercise of options, Mr Day has 297,000 unexercised options over the Company's Ordinary Shares.
