Kosmos Energy Announces Pricing of Secondary Public Offering of Common Shares
DALLAS - November 27, 2018, Kosmos Energy Ltd. ("Kosmos") (LSE/NYSE: KOS) announced today the pricing of a previously announced underwritten public offering of 15 million of its common shares (the "Offering"), all of which were offered by funds affiliated with Warburg Pincus LLC (the "Selling Shareholder"). The price to the public was $5.43 per share. The Selling Shareholder has granted the underwriter an option to purchase up to an additional 2.25 million common shares on the same terms and conditions, exercisable within 30 days. The Offering is expected to close on November 29, 2018, subject to customary closing conditions. Kosmos will not receive any of the proceeds from the sale of the common shares. Barclays is acting as the underwriter of the Offering.
In addition, Kosmos's previously announced repurchase of 35 million of its common shares from the Selling Shareholder pursuant to a separate, privately negotiated agreement (the "Share Repurchase") has been completed at a price equal to the price per share to the underwriter of the Offering. The total aggregate purchase price for the Share Repurchase is approximately $188 million.
