KELLER GROUP PLC ("the Company")
The Company announces the following transactions by Directors of the Company in the Company's shares:
The Company has granted awards (structured as options) to acquire ordinary shares in the Company under the Keller Group Performance Share Plan 2004 (the `Plan') with a grant date of 3 March 2011, as follows:
Director Total number of ordinary shares Mr J. R. Atkinson 67,936 Mr J. W. G. Hind 48,879 Mr R. M. Rubright 59,463 Dr W. Sondermann 55,041
No consideration was paid by any Director for the grant of an award.
The exercise price for the above awards is £1 in total (payable each time an award is exercised). The awards will normally be exercisable for a period of six months commencing on 3 March 2014, subject to continued employment and the satisfaction of performance conditions, which will be measured over three years.
The above named Directors notified the Company of their respective interests in these shares on 7 March 2011.
Awards granted under the Plan to the above named Directors on 6 March 2008 were subject to performance conditions relating to the three-year performance period ended 31 December 2010 which were not met and, accordingly, these awards have now lapsed.
Including the number of ordinary shares over which awards were granted under the Plan on 3 March 2011, the Directors now hold share awards over the following number of ordinary shares:
