Scheme of arrangement legally effective and Admission of Ordinary Shares to trading
The board of directors ("Board") of Kistos Holdings plc ("Kistos" or "Company" or, together with its subsidiary or subsidiary undertakings, the "Group") (AIM: KIST) is pleased to announce that the order of the High Court of Justice of England and Wales (the "Court") sanctioning the scheme of arrangement ("Scheme") under Part 26A of the Companies Act 2006 has been delivered to the Registrar of Companies, and as such, the Scheme is now effective and Kistos is now the holding company of the Group.
The Board is also pleased to announce the admission of Kistos's ordinary shares of nominal value 10 pence each ("Ordinary Shares") to trading on the AIM market of the London Stock Exchange ("Admission") at 8.00 a.m. today. On Admission, the Company will have a total of 82,863,743 Ordinary Shares in issue.
