Statement regarding Recticel NV/SA

Kingspan, the global leader in high performance insulation and building envelope solutions, announces that it has today made an offer to the Board of Recticel NV/SA ("Recticel") to acquire its entire Insulation and Flexible Foams divisions for a total consideration of €700 million. The offer is made subject to approval by the Board of Recticel, completion of customary due diligence and transaction documentation, and receipt of usual regulatory clearances.
Subject to the successful completion of the acquisition, Kingspan has entered into an exclusive back to back agreement with a third party for the disposal of all of the Flexible Foams businesses.
There can be no certainty that the offer to the Board of Recticel will result in an agreement being concluded or, if concluded, receiving regulatory approvals. A further announcement will be made if and when appropriate.
