St Ives plc - Additional listing
Further to the announcement on 17 March 2015 relating to the acquisition of Solstice Consulting LLC, St Ives plc (the "Company") announces that an application has been made to the Financial Conduct Authority (the "FCA") for the admission of a further 4,897,251 ordinary shares of 10p each, relating to deferred consideration, to the premium listing segment of the Official List and to the London Stock Exchange for admission to trading on its main market for listed securities.
These shares have been issued pursuant to the Membership Interest Purchase Agreement between the Company and the vendors of Solstice Consulting LLC and rank pari passu with the existing issued ordinary shares of the Company.
It is expected that admission will become effective on 15 May 2018.
Following admission, the Company's issued share capital consists of 147,741,927 ordinary shares of 10 pence each with voting rights attached (one vote per ordinary share). The Company holds 90,637 ordinary shares in treasury. Therefore, the total number of voting rights in the Company is 147,651,290.
The above voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
