NOTIFICATION OF TRANSACTIONS BY DIRECTORS/PDMRS
AS SPECIFIED UNDER DR 3.1.4R (1)

In accordance with the Disclosure Rules 3.1.4R (1), KCOM confirms that the following directors were invited to participate in the Long Term Co-Investment Plan (LTCIP) for the 12 month period ending 31 August 2010 and have each accepted that invitation. The Plan was approved by shareholders at the Company's Annual General Meeting on 1 August 2007, and in line with the Plan rules, shares have been bought or transferred on behalf of the directors as follows:

(2) Under the rules of the scheme participants are allowed to transfer in any shares already held in their own name.
Though the 12 month period has now ended and the participants are no longer contributing to the scheme, the shares held in the trust are eligible for Dividend Re-Investment for the Interim and Final Dividend payments. The Company received notification from the trustees on 4th February 2011.
KCOM confirms that all individual instructions to the trustees were given in an open period.
