KCOM Group PLC (the "Company") announces that the Directors and other PDMRs listed below were today, 19 July 2012, granted awards in the form of options to acquire the number of ordinary shares in the capital of the Company shown against his or her name, under the rules the KCOM Group PLC Long-Term Incentive Plan.

No consideration was paid for the grant of the awards.
The awards are structured as nil cost options and will normally vest on 19 July 2015 subject to the grantee's continued employment and to the extent a total shareholder return performance condition is satisfied over a three year measurement period. Once vested, subject to the grantee's continued service, the awards will normally remain exercisable for a period of 12 months.
The Company was notified of the above transactions today, 19 July 2012.
