NOTIFICATION OF TRANSACTIONS BY DIRECTORS/PDMRS 

AS SPECIFIED UNDER DR 3.1.4R (1) 

In accordance with the Disclosure Rules 3.1.4R (1), KCOM confirms that the following directors were invited to participate in the Long Term Co-Investment Plan (LTCIP) for the 12 month period ending 31 August 2009 and have each accepted that invitation. The Plan was approved by shareholders at the Company's Annual General Meeting on 1 August 2007, and in line with the Plan rules, shares have been bought or transferred on behalf of the directors as follows:

(2) Under the rules of the scheme participants are allowed to transfer in any shares already held in their own name. 

Each participant has entered into a 12 month contract with the Company and the trustees of the Plan to allow the individual to issue instructions to the trustees during an open period. Paul Simpson, Paul Renucci and Neil Gower have elected to have monthly share purchases made on their behalf and these may take place during a close period providing the individual does not vary his instruction during such a period.

KCOM confirms that all individual instructions to the trustees were given in an open period.
