NOTIFICATION OF TRANSACTIONS BY DIRECTORS / PDMRS

AS SPECIFIED UNDER DR 3.1.4 R (1)

KCOM Group PLC operates a Long Term Co-Investment Plan (LTCIP) which was approved by shareholders at the Company's Annual General Meeting on 1 August 2007. In accordance with the Disclosure Rules 3.1.4 R (1), the share interests of the under-noted directors have increased this month.

The following transactions took place in London on 1st August 2011 and the Company was notified on 9th August 2011:

No further investment into the scheme has been allowed since 1 September 2009; however the shares held in the trust are eligible for dividend reinvestment for the interim and final dividend payments.

KCOM confirms that all individual instructions to the trustees were given in an open period.
