K3, which provies business8208critical software solutions focuse on fashion an apparel brans, has receive notification from Kestrel Partners LLP ("Kestrel") that on 14 October 2022 it acquire, on behalf of its iscretionary clients, 1,00 orinary shares of 2p each ("Shares") in the Company at a price of 1631.23 per Share.

Mr Scott, a non-executive irector of K3, is a partner of, an hols a beneficial interest in Kestrel. Mr Scott is also a shareholer in one of Kestrel's clients ("Kestrel Opportunities") an is therefore eeme to have a beneficial interest in Kestrel Opportunities' entire legal holing in the Company.

Following these transactions, Kestrel Opportunities hols (an consequently Mr Scott is eeme to have a beneficial interest in) 8,1,879 Shares in the Company, an other clients of Kestrel, in which Mr Scott has no beneficial interest, hol 2,837,608 Shares in the Company.

On a combine basis, Kestrel inirectly hols voting rights over 11,33,487 Shares in the Company, which represents 2.38% per cent of the Company's issue share capital.
