JPEL PUBLISHES EGM CIRCULAR

GUERNSEY, 5 FEBRUARY 2016
J.P. Morgan Private Equity Limited ("JPEL" or the "Company") has today published a circular to Shareholders.
The circular contains a notice of an Extraordinary General Meeting ("EGM") to be held at 2:00 p.m. (London time) on 25 February 2016 at Carinthia House, 9-12 The Grange, St. Peter Port, Guernsey GY1 4BF.
SUMMARY OF RESOLUTIONS TO BE PROPOSED
On 8 December 2015, the Company announced that J.P. Morgan Asset Management and affiliates of Fortress Investment Group LLC ("FIG") had entered into definitive agreements regarding the transfer of the investment management team responsible for JPEL to FIG. Pursuant to that announcement, JPEL will hold an EGM to facilitate the change of the Company's name upon satisfactory completion of the announced transaction.
The following summarises all of the resolutions the Company is seeking approval for at the EGM. All special resolutions will be proposed to all Shareholders.
Special Resolutions
1. To change the name of the Company to JPEL Private Equity Limited, conditional upon the satisfaction of certain conditions agreed between J.P. Morgan Asset Management and affiliates of Fortress Investment Group LLC relating to the transfer of the investment management team responsible for the management of the Company from J.P. Morgan Asset Management to FIG.
2. To adopt new Articles of Incorporation of the Company, conditional upon the approval of the first resolution and effective on the change of name of the Company pursuant thereto.

Copies of the following documents are available for inspection at the offices of Akin Gump LLP, 41 Lothbury, London EC2R 7HF and at the registered office of the Company (which is also the place of the EGM) during normal business hours of any business day (Saturdays and public holidays excepted) until the conclusion of the Extraordinary General Meeting:
· the current Articles of Incorporation;
· a draft of the proposed new Articles of Incorporation;
· the Annual Report and financial statements for the year ended 30 June 2015; and
· this document.
