The shares owned by Guinness Flight and Calder 2342 are held intrust, the beneficiary of which is the family of Dr P Davies. Dr P Davies holdsa 50% interest in the share capital of JP Kenny Corporation AG. The remainingordinary shares are held directly by Dr P Davies. Section 6Exercise of 267,697 executive share options at 16.75p. Dr Davies surrendered abalance of 182,303 options outstanding at this exercise price for which thecompany made a compensating payment (related to the bid price on 16th March2005) of £242,919.
