JJB Sports PLC28 July 2006 27 July 2006 JJB Sports Plc ("JJB" or the "Company") AGM Statement JJB announces that at the Annual General Meeting of the Company held yesterday,all the resolutions set out in the circular despatched to shareholders of theCompany on 21 June 2006 ("Circular") were passed including resolutions (i) toauthorise the directors to offer the holders of ordinary shares in the Company("Ordinary Shares") the right to elect to receive further shares of that classin respect of the final dividend for the 52 weeks to 29 January 2006 (ii) toauthorise the directors to make market purchases of Ordinary Shares up to amaximum of 11,538,330 Ordinary Shares and (iii) approving the waivers by thePanel on Takeovers and Mergers pursuant to Rule 9 of the City Code on Takeoversand Mergers as referred to in the Circular. As detailed in the Circular, the Concert Party (as defined in the Circular)currently hold 88,992,821 Ordinary Shares, representing approximately 38.56 percent, of the current issued ordinary share capital of the Company. Assuming: 1. no sales of Ordinary Shares by the Concert Party; 2. full use by the Company of the authority to make market purchases detailed in the Circular; 3. acceptance in full by the members of the Concert Party (and no other holders of Ordinary Shares) of the Scrip Dividend (as defined in the Circular); and 4. exercise in full by the members of the Concert Party (and no other holder of options over Ordinary Shares) of all their existing options over Ordinary Shares and the vesting of the awards detailed in Part VI of the Circular (to be granted under the 2006 LTIP (as defined in the Circular and adopted at the AGM) to David Whelan and no-one else, the maximum combined shareholding of the Concert Party would be 41.85 per cent, Copies of the resolutions passed will be submitted to the UK Listing Authorityfor publication through the Document Viewing Facility.
