Issue of Equity
Judges Capital is pleased to announce a successful share placing (the "Placing") raising approximately £525,000 before expenses by way of the issue of approximately 475,000 new ordinary shares (the "Placing Shares") at 110p per share.
The Placing Shares have been placed by Loeb Aron & Co. Ltd (as Agent for the Company) with 42 placees in order to widen the shareholder base of the Company, which to date has been comprised of a limited number of shareholders. This action, in conjunction with the 'whitewash' resolution being proposed at the Extraordinary General Meeting convened for 22 May 2008, is designed to enhance trading liquidity in the Company's shares. Loeb Aron is being granted a warrant to subscribe for 23,840 new ordinary shares at 110p per share exercisable until 20 May 2013.
The Placing Shares rank pari passu in all respects with the existing ordinary shares, including the right to receive all dividends and other distributions hereafter declared, made or paid with the exception of the final dividend of 2.2p per share recommended for the year ended 31 December 2007 which is subject to the approval of shareholders at the forthcoming Annual General Meeting.
The total number of ordinary shares with voting rights including the Placing Shares now amounts to 4,037,678.
Application will be made for the Placing Shares to be admitted to trading on the AIM Market of the London Stock Exchange ("AIM"). It is expected that dealings in the Placing Shares will commence on AIM on 9 June 2008.
The net proceeds of the Placing amount to £478,756 and will be used to provide additional working capital and to facilitate potential acquisition opportunities in line with the Company's strategy.
