Director/PDMR Shareholding

Further to the announcement of 28 June 2012, the Company announces that, following the conversion by Alex Hambro, the Non-executive Chairman of Judges, of 78,102 convertible redeemable shares of 1p each, the Company has today issued to him 10,000 ordinary shares of 5p each ("Ordinary Shares"). The amount payable by Alex Hambro (95p per new Ordinary Share less the nominal value of the convertible redeemable shares converted) is equal to the amount receivable by him in respect of share redemptions which were also referred to in the 28 June 2012 announcement. Thus these two transactions, when taken together, are cash-neutral for the Company.

Shareholding

Following this conversion, Alex Hambro is now interested in 100,000 Ordinary Shares (including those held in his SIPP) representing approximately 1.91% of the issued ordinary share capital. He is also interested in 200,000 convertible redeemable shares, representing 35.42% of the shares of that class that have not yet been converted or redeemed.

Admission

Application has been made to the London Stock Exchange for the Ordinary Shares to be admitted to trading on the Alternative Investment Market ("AIM") and admission is expected to take place on 28 August 2012. The Ordinary Shares will rank pari passu with the existing Ordinary Shares.

Total voting rights

Following admission of the Ordinary Shares, the issued share capital will be 5,238,196 Ordinary Shares. The Company does not hold any shares in treasury and the above figure may therefore be used by shareholders as the denominator for the calculation to determine whether they are required to notify their interest in, or a change to their interest in, the Company under the Financial Services Authority's Disclosure and Transparency Rules.
