Phytopharm PLC14 December 2007 Phytopharm plc 14 December 2007 DIRECTOR/PDMR SHAREHOLDING - Purchase of Ordinary Shares (the "Shares") inPhytopharm plc (the "Company") by Directors of the Company under its employeeShare Incentive Plan (the "SIP"). The SIP trustee, Equiniti Share Plan Trustees Limited (the "Trustee"), notifiedthe Company on 12 December 2007 that the following Directors of the Companyacquired Shares under the SIP on 7 December 2007, in each case, held by theTrustee: Director Number of Aggregate number of Shares held beneficially Shares acquired* following acquisition (across all accounts) Daryl Rees 782 20,445 Piers Morgan 782 20,445 \* The number of Shares acquired includes 391 Partnership Shares purchased by eachof these Directors at 32 pence and 391 Matching Shares issued to each of theseDirectors under a Block Listing arrangement. Both partnership and matchingelements are registered in the name of the Trustee. The SIP operates as follows: Each month the Trustee uses participants' contributions (which may not exceed£125 per participant per month) to purchase shares in the market. These sharesare called "Partnership Shares". At the same time the Company allots to participants via the Trustee one"Matching Share" for every Partnership Share purchased that month.
