SMALLER RELATED PARTY TRANSACTION

This disclosure is being made in accordance with Listing Rule 11.1.10 R due to the fact that ITV plc ("ITV") is entering into a transaction with the BBC, which is deemed to be a related party of ITV under the Listing Rules.

ITV, BBC and Channel 4 have agreed new funding arrangements for the following existing ventures (the "Ventures") for the three year period ending 31 December 2023 (the "Term"): Digital UK Limited (a joint venture between ITV, BBC and Channel 4 that runs the DTT operations of Freeview); and DTV Services Limited (a joint venture between ITV, BBC, Channel 4 and Sky that markets Freeview). ITV (through certain of its subsidiary undertakings) has been a member of the Ventures since 2005.

Pursuant to these new funding arrangements, ITV, BBC and Channel 4 have each committed to contribute £19,089,000 to the Ventures during the Term. These arrangements do not represent a material increase to the existing funding obligations of ITV to the Ventures.
