Notification of Transactions of Directors/

Persons Discharging Managerial Responsibility and Connected Persons

Pursuant to Disclosure and Transparency Rule 3.1.2, Interserve Plc (the "Company") announces that it was informed on 13 April 2015 by Capita Trustees Limited, in its capacity as Trustee of the Interserve Employee Benefit Trust, that the following ordinary shares of 10p each in the Company were transferred for no consideration to certain Executive Directors/Person Discharging Managerial Responsibilities ("PDMR") on 13 April 2015 pursuant to the Interserve Plc Performance Share Plan 2006. The number of shares vested was subject to the satisfaction of certain performance conditions over a three-year period based on earnings per share and total shareholder return.

Executive Directors

1. 77,895 shares were acquired by Steven Dance (0.05% of issued share capital) and were subsequently disposed at an average share price of 577.00 pence per share on the London Stock Exchange on 13 April 2015. Mr Dance's interest in the ordinary shares of 10 pence each in the Company remains at 101,800 shares (0.07% of issued share capital).

2. 94,234 shares were acquired by Timothy Haywood (0.06% of issued share capital). 54,148 shares were retained and the remaining shares were disposed at an average share price of 577.00 pence per share on the London Stock Exchange on 13 April 2015 to fund the tax/NI and sales costs. Mr Haywood now has an interest in 108,399 ordinary shares of 10 pence each in the Company (0.07% of issued share capital).

3. 77,895 shares were acquired by Bruce Melizan (0.05% of issued share capital) and were subsequently disposed at an average share price of 577.00 pence per share on the London Stock Exchange on 13 April 2015. Mr Melizan's interest in the ordinary shares of 10 pence each in the Company remains at 104,050 shares (0.07% of issued share capital).

4. 130,864 shares were acquired by Adrian Ringrose (0.09% of issued share capital). 75,196 shares were retained and the remaining shares were disposed at an average share price of 577.00 pence per share on the London Stock Exchange on 13 April 2015 to fund the tax/NI and sale costs. Mr Ringrose now has an interest in 509,865 ordinary shares of 10 pence each in the Company (0.35% of issued share capital).

5. 69,916 shares were acquired by Douglas Sutherland (0.05% of issued share capital). 40,175 shares were retained and the remaining shares were disposed at an average share price of 577.00 pence per share on the London Stock Exchange on 13 April 2015 to fund the tax/NI and sales costs. Mr Sutherland now has an interest in 144,643 ordinary shares of 10 pence each in the Company (0.10% of issued share capital).

PDMR

1. 46,813 shares were acquired by Trevor Bradbury (0.03% of issued share capital). 26,899 shares were retained and the remaining shares were disposed at an average share price of 577.00 pence per share on the London Stock Exchange on 13 April 2015 to fund the tax/NI and sales costs. Mr Bradbury now has an interest in 153,587 ordinary shares of 10 pence each in the Company (0.11% of issued share capital).

2. 11,298 shares were acquired by George Franks (0.01% of issued share capital) and retained. Mr Franks now has an interest in 20,985 ordinary shares of 10 pence each in the Company (0.01% of issued share capital).

3. 10,283 shares were acquired by Ian Renhard (0.01% of issued share capital) and were subsequently disposed at an average share price of 577.00 pence per share on the London Stock Exchange on 13 April 2015. Mr Renhard's interest in the ordinary shares of 10 pence each in the Company remains at 65,709 shares (0.05% of issued share capital).
