Notification of Transactions of Directors/

Persons Discharging Managerial Responsibility and Connected Persons

Pursuant to Disclosure and Transparency Rule 3.1.4, Interserve Plc (the "Company") announces that the following PDMRs exercised their options under the Interserve Sharesave Scheme 2009 on 27 August 2015.

The shares were subsequently transferred by Capita Fiduciary (in its capacity as Trustee of the Interserve Employee Benefit Trust) into the names of the respective PDMR, as indicated below.

These options were originally granted on 5 April 2012 at an exercise price of 238.00p per share. The Sharesave Scheme is an all-employee HMRC tax-advantaged share scheme and the exercise of options on maturity is not dependent upon performance criteria.

PDMRs

1. 378 shares were acquired by Mr A G Franks and transferred into his name on 3 September 2015. Mr Franks now has an interest in 21,423 ordinary shares of 10p each in the Company (0.01% of issued share capital).

2. 378 shares were acquired by Mr R P O'Kelly and transferred into his name on 3 September 2015. Mr O'Kelly now has an interest in 905 ordinary shares of 10p each in the Company (0.0006% of issued share capital).
