INTERSERVE PLC - Director/PDMR Shareholding

Pursuant to Disclosure and Transparency Rule 3.1.2, Interserve Plc (the"Company") announces that it was informed today that Mr David Paterson and hisconnected persons have disposed of a total of 10,000 ordinary shares of 10peach in the Company, as follows:

(a) 1,000 shares on his own account at a price of 509.74p per share on 2 April2013;

(b) 4,000 shares on his own account at a price of 495.00p per share on 3 April2013; and

(c) 5,000 shares on the account of his wife (Mrs Lynne Paterson) at a price of497.00p per share on 3 April 2013.

The interest of Mr Paterson and his connected persons in the shares of theCompany has therefore now decreased to 37,473 ordinary shares of 10p each(0.03% of the issued share capital).

The transactions took place in London.
