INTERSERVE PLC - Director/PDMR Shareholding

Pursuant to Disclosure and Transparency Rule 3.1.2, Interserve Plc (the"Company") announces that it was informed on 8 March 2013 that Mr AdrianRingrose had exercised options over a total of 133,333 shares at 205.83p pershare on 6 March 2013 pursuant to the Executive Share Option Scheme 2002.

Between 7 and 8 March 2013 Mr Ringrose disposed of a total of 101,591 shares atan average share price of 494.639p per share to fund the cost of exercise,income tax/NI and sale costs. The remaining 31,742 shares have been retained.Mr Ringrose's interest in the shares of the Company has therefore now increasedto 295,338 ordinary shares of 10p each (0.23% of the issued share capital).

The options were granted on 23 April 2003 and were subject to the satisfactionof certain performance conditions based on earnings per share.
