Notification of Transactions of Directors/

Persons Discharging Managerial Responsibility and Connected Persons

Pursuant to Disclosure and Transparency Rule 3.1.2, Interserve Plc (the "Company") announces that it was informed on 1 April 2015 by Capita Trustees Limited, in its capacity as Trustee of the Interserve Employee Benefit Trust, that the following ordinary shares of 10p each in the Company were transferred for no consideration to Ian Renhard, a Person Discharging Managerial Responsibilities ("PDMR") on 1 April 2015 and pursuant to the Interserve Plc Performance Share Plan 2006. The number of shares vested was subject to the satisfaction of certain performance conditions over a three-year period based on earnings per share and total shareholder return.

PDMR

31,529 shares were today acquired by Ian Renhard (0.02% of issued share capital). 18,474 shares were retained and the remaining shares were immediately disposed at a share price of 569.25 pence per share on the London Stock Exchange in order to cover the tax/NI and sale costs. Mr Renhard now has an interest in 65,683 ordinary shares of 10 pence each in the Company (0.04% of issued share capital).
