Issue of Options Director/PDMR Shareholding
IQE plc (AIM: IQE, "IQE" or the "Group"), the leading supplier of compound semiconductor wafer products and advanced material solutions to the global semiconductor industry, advises that on 8 June 2025, Mark Cubitt, Executive Chair, and Jutta Meier, Chief Executive Officer, received grants of nil cost share options ("Options") over ordinary shares of 1 pence each in the Company ("Ordinary Shares") pursuant to IQE's Long Term Incentive Plan ("LTIP").
Mark Cubitt has received immediately vested Options over 166,667 Ordinary Shares under the LTIP to reflect his additional time commitment as Executive Chair, his contribution during the Strategic Review and to ensure his interests are appropriately aligned with shareholders. It is intended that Mark will be granted a similar award of Options on each of the three subsequent calendar quarters or, if earlier, until such time that he returns to his non-executive chair role, up to a maximum of 666,667 Ordinary Shares. Mark's Options and resulting Ordinary Shares are subject to a three-year holding period from the date of grant.
Jutta Meier has received Options over 5,666,667 Ordinary Shares under the LTIP. Jutta's Options are subject to a three-year performance period to 31 December 2027 and a two-year holding period following vesting. Vesting of 75% of Jutta's Options will be determined by threshold and stretch targets for the Company's Adjusted EBITDA Margin in the financial years ending 31 December 2026 and 31 December 2027, and vesting of 25% of Jutta's Options will be determined by certain non-financial and strategic measures.
