Conversion of Convertible Loan Notes into Equity

The Company is pleased to announce that Trevor Brown, a director of the Company, has elected to convert £56,000 of his convertible loan notes issued pursuant to a loan note instrument dated 11 March 2015, ("Convertible Loan Notes"), together with accrued interest, into, in aggregate, 5,864,091 ordinary shares of £0.01 each ("Ordinary Shares") at the conversion price of £0.011 per share. Following this conversion, Flying Brands has £213,800 of Convertible Loan Notes outstanding and £100,000 of convertible loan notes issued pursuant to a loan note instrument dated 18 November 2015 outstanding.  

Further details of the Convertible Loan Notes were set out in the Company's announcement and circular, both dated 13 February 2015. 

Following the conversion, the abovementioned 5,864,091 Ordinary Shares will be admitted to trading on the Standard Listing segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange Main Market for listed securities ("Admission"). Admission will become effective and dealings will commence at 8.00 a.m. on 4 July 2017.  

Following the conversion, Trevor Brown will be directly and indirectly interested in 16,180,788 Ordinary Shares, representing approximately 24.98 per cent. of the Company's enlarged issued ordinary share capital.

Total Voting Rights 

On Admission, the Company will have 64,786,721 Ordinary Shares in issue.

The Company has no Ordinary Shares held in treasury. Accordingly, the above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
