On 30 June 2017, 3i Group plc (the "Company") was notified that on 30 June 2017 Simon Borrows, a Director and person discharging managerial responsibilities, acquired for nil cost 283,724 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") on the release of a share award.

Also on 30 June 2017, 3i Group plc (the "Company") was notified that on 30 June 2017 Julia Wilson, a Director and person discharging managerial responsibilities, acquired for nil cost 128,965 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") on the release of a share award and sold 60,747 of these shares at 908.0p per share to cover tax and National Insurance.

The place of the above transactions was the London Stock Exchange.
