On 2 July 2018, 3i Group plc (the "Company") was notified that on 29 June 2018 Simon Borrows, a Director and person discharging managerial responsibilities, acquired for nil cost 141,862 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") on the release of a share award.

Also on 2 July 2018, 3i Group plc (the "Company") was notified that on 29 June 2018 Julia Wilson, a Director and person discharging managerial responsibilities, acquired for nil cost 64,483 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") on the release of a share award and sold 30,379 of these shares at 902.5556p per share to cover tax and National Insurance.

The place of the above transactions was the London Stock Exchange.
