("Impact" or "the Company") Issue of Equity
Impact Holdings (UK) plc, the provider of services to the legal profession, is pleased to announce it has raised £320,000 (before expenses) by way of a placing of 400,000 New Ordinary Shares of 50p each (`Placing Shares') at a placing price of 80p (the `Placing') with Mercantile Investment Company Limited, a company whose primary shareholder is Sir Ron Brierley. The net proceeds of the Placing will be used to fund future acquisitions and the working capital requirements of the Company.
IHUK have been advised that Mercantile Investment Company Limited presently own 130,000 shares and this further placing will result in them having a total shareholding amounting to approximately 20.2%.
The Placing Price of 80 pence per Placing Share represents a discount of approximately 3 per cent to the middle market price of an Ordinary Share at the close of business on 9th August 2012, being the latest practicable date prior to this announcement.
Application will be made for the Placing Shares to be admitted to trading on AIM. Admission and commencement of dealings in the New Ordinary Shares to be issued under the Placing is expected to take place at 8.00 a.m. on 16th August 2012.
The Placing Shares will, when issued, rank pari passu in all respects with existing Ordinary Shares, including the right to receive all dividends and other distributions declared, made or paid after Admission of the Placing Shares.
Total Voting Rights
For the purposes of the Disclosure and Transparency Rules, the Company's total issued share capital following the completion of the Placing will comprise 2,622,402 ordinary "A" shares of 50p each with one voting right per share. There are no shares held in treasury.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.
