Investment Adviser Co-investment Incentive Scheme

This announcement is made jointly by Mobeus Income & Growth VCT plc (MIG), Mobeus Income & Growth 2 VCT plc (MIG 2), Mobeus Income & Growth 4 VCT plc (MIG 4) and The Income & Growth VCT plc (I&G) (together the Companies and each a Company). Gresham House Asset Management Limited acts as the investment adviser to the Companies (Investment Adviser).

The board of directors of the Companies (Boards) are keen to ensure that the Investment Adviser has a well incentivised investment team looking after the Companies. To support this, the Boards have agreed to adopt a co-investment incentive scheme (Scheme) under which members of the Investment Adviser's VCT investment and administration team will invest their own money into a proportion of the ordinary shares of each investment made by the Companies (the co-investment under the Scheme will represent 8% of the overall ordinary share investment in an investee company).

The co-investment incentive scheme will apply to investments made on or after 26 July 2023, such co-investment to be at the same time and on substantially the same terms as the investment by the Companies. Each Board will keep the co-investment incentive scheme arrangements under review.
