Transaction in Own Shares

The Company announces the purchase of 57,975 of its ordinary shares at 63.06p per share on 3 December 2010. The purchased shares will all be held as treasury shares.

The shares purchased relate to options which were exercised by certain Intercede employees as previously announced on 30 November 2010. None of the shares purchased by the Company relate to the options exercised by Andrew Walker, Finance Director who continues to hold the 128,150 shares that he exercised at a cost of £60,230.50 on 30 November 2010.

Following the above purchase, the Company holds 57,975 ordinary shares in Treasury and has a total of 48,307,030 shares in issue (excluding shares held in Treasury). The number of ordinary shares purchased represents approximately 0.1% of the voting rights attributable to the total ordinary shares in issue prior to such purchase.

The above figure of 48,307,030 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
