SCRIP DIVIDEND SCHEME
Intermediate Capital Group PLC (the "Company") offers shareholders the opportunity to take new ordinary shares, credited as fully paid, in lieu of cash dividends, by participating in a Scrip Dividend Scheme (the "Scheme"), as referred to in a circular to shareholders posted on 16 June 2009.
In accordance with the terms and conditions of the Scheme, in relation to the final dividend for the year ended 31 March 2009, the price of a new ordinary share issued under the Scheme has been set at 201.77 pence. This price is based on the average of the Company's middle market closing price for the five consecutive dealing days commencing on the ex-dividend date of 15 July 2009, adjusted to exclude rights under the rights issue announced on 2 July 2009, to which rights ordinary shares issued under the Scheme are not entitled.
Shareholders wishing to join the Scheme should return a completed mandate form to the Company's Registrar, Computershare Investor Services PLC, The Pavilions, Bridgwater Road, Bristol BS99 6ZY by 7 August 2009.
