ICAP plc ("the Company")

Treasury shares

On 21 August 2015, the Company transferred a total of 20,896 shares as follows:

· 18,061 ordinary shares at £2.74 per share to participants in its 2012 Sharesave Scheme;

· 2,297 ordinary shares at £2.72 per share to a participant in its 2013 Sharesave Scheme; and

· 538 ordinary shares at £3.02 per share to a participant in its 2014 Sharesave Scheme.

These shares were previously held as treasury shares.

Following the above transactions, the Company holds 13,657,078 ordinary shares in treasury, and has 650,879,928 ordinary shares in issue (excluding treasury shares).
