ICAP plc ("the Company")

Treasury shares

On 29 September 2015, the Company transferred a total of 21,448 shares as follows:

· 16,091 ordinary shares at £2.74 per share to participants in its 2012 Sharesave Scheme;

· 4,778 ordinary shares at £2.72 per share to a participant in its 2013 Sharesave Scheme; and

· 579 ordinary shares at £3.02 per share to a participant in its 2014 Sharesave Scheme.

These shares were previously held as treasury shares.

Following the above transactions, the Company holds 13,587,530 ordinary shares in treasury, and has 650,949,476 ordinary shares in issue (excluding treasury shares).
