Acquisition and Admission

Further to the Company's announcement on 23 March 2015 regarding the result of General Meeting held that day, the Company is pleased to announce that completion of the acquisition of 75.1% of the shares in Harworth Estates Property Group Limited from the Board of the Pension Protection Fund (the "Acquisition") and admission to the standard listing segment of the Official List of the new ordinary shares issued pursuant to the Firm Placing and Placing and Open Offer occurred at 8:00am this morning.

A further announcement regarding the Company's change of name to Harworth Group plc is expected to be made later today.

Board Changes

Following completion of the Acquisition, the Company is pleased to confirm the following appointments to the Board of Directors with immediate effect:

· Owen Michaelson as Chief Executive Officer;

· Mike Richardson as Finance Director;

· Anthony Donnelly as Non-executive Director; and

· Martyn Bowes as Non-executive Director.

Anthony Donnelly will join the Company's Audit Committee and Martyn Bowes will join the Remuneration Committee.

Owen Michaelson was previously a director of UK Coal plc and resigned from that board on 10 December 2012.

No other information is required to be disclosed pursuant to Listing Rule 9.6.13R in relation to the above appointments to the Board of Directors of the Company.
