Issue of Equity

Harvey Nash, the global technology recruitment and outsourcing group, announces that options granted under the Company's Performance Share Plan which became exercisable as a result of the offer by the Power of Talent Ltd being declared wholly unconditional on 26 October 2018, have been satisfied by the issue of 2,416,838 new Ordinary Shares at a price of £0.05 per ordinary share (the "Issue"). Application has been made for the 2,416,838 new Ordinary Shares to be admitted to trading on AIM and dealings are expected to commence on 01 November 2018 ("Admission"). 

Following the Issue and Admission, the total number of voting rights in the Company is 75,867,231 with no shares held in treasury. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company.
