Notification of transactions of Directors/Persons discharging managerial responsibility and connected persons

On 14 April 2016 members of the senior management team were granted awards over Ordinary Shares in the Company pursuant to the Rules of the Performance Share Plan 2012 as approved at the Annual General Meeting on 11 June 2012. No payment was required for the grant of the awards which were made in the form of nil cost options (i.e. no exercise price is payable when the options are exercised.)

The value of each award was calculated by reference to the Hansteen closing share price on 13 April 2016, being 108.10 pence.

The award is subject to performance conditions measured over a three year performance period. Each award will vest in three equal annual tranches over a three year period, the first tranche vesting on 14 April 2019. Each Award will vest by reference to performance over the performance period against two separate performance conditions:

· 50% of the award will vest by reference to the Company's Total Shareholder Return over the performance period ranking relative to a Comparator Group of Real Estate Investment Trusts approved by the Remuneration Committee; and

· 50% of the award will vest by reference to the Company's EPRA Net Asset Value per share growth from investing in the Company over the performance period ranking relative to the same Comparator Group.
