HMV Group PLC01 December 2005 1 December 2005 Offer Update On 9 November 2005, HMV Group announced that the Office of Fair Trading ("OFT")had informed the parties involved that a decision on whether or not it wouldrefer the Offer to the Competition Commission was not expected to be announceduntil 2 December 2005. The period in which the Offer would remain open foracceptances was therefore extended until 7 December 2005. The Office of Fair Trading has now informed the parties involved that a decisionon whether or not it would refer the Offer to the Competition Commission is nowexpected to be announced during the week commencing Monday 5 December 2005. In light of this, HMV Group has sought and obtained the consent of theIndependent Directors of Ottakar's and the Panel to an extension of the Offer.Accordingly, the Offer will be extended and remain open for acceptance until1.00 p.m. on 14 December 2005 which will be the new "Day 60" (the final day bywhich an offer must generally become unconditional as to acceptances under theCity Code). Any further extension of the Offer will be at the discretion of thePanel. 7 December 2005 will no longer be a closing date in respect of the Offer.
