Halma PLC09 May 2006 HALMA p.l.c. INTEREST NOTIFIED UNDER SECTION 198 COMPANIES ACT 1985 Halma p.l.c. received the following notification on 9 May 2006 from Silchester International InvestorsLimited. Silchester International Investors Limited ("Silchester") acts as an Investment Manager for a number ofcommingled funds (its "Clients"). In acting for its Clients, Silchester are given full discretion overtheir investments, and are empowered to vote on their behalf. However, Silchester do not act as theirCustodian, and therefore shares are not held in the name of Silchester, but in the nominee name of itsClients' Custodian bank. In addition, Silchester holds 49.9% of the issued share capital of Sanderson Asset Management Limited ("Sanderson"), a UK limited company that also acts as an Investment Manager for a number of commingled fundsand separate accounts. In acting for its clients, Sanderson are given full discretion over theirinvestments, and are empowered to vote on their behalf. However, Sanderson do not act as its clients'Custodian and therefore shares are not held in Sanderson's name, but in the nominee name of Sanderson'sclients' Custodian bank. Silchester's share ownership in Sanderson does not allow Silchester to exercise any direct or indirectcontrol over Sanderson's investment strategy, philosophy or implementation, the investments that Sandersonmay purchase or sell on behalf of its clients, or the manner in which Sanderson may vote proxies thatarise from its client investments. However, Silchester is deemed to have an 'interest' in shares thatSanderson controls by virtue of Section 203(2)(b) of the Companies Act 1985. Recent purchases/sales of shares in Halma p.l.c. by Silchester, on behalf of its clients, have resulted inSilchester having an interest in the following shares (also see table below): SILCHESTER 51,562,910 Recent purchases/sales of shares in Halma p.l.c. by Sanderson, on behalf of its clients, have resulted inSanderson having an interest in the following shares, and Silchester having an interest over the sameshares for the purposes of Section 203(2)(b) of the Companies Act 1985 (also see table below): SANDERSON 12,876,000 Halma p.l.c. has the following shares in that class: HALMA p.l.c. 369,179,280 As such, Silchester has an interest over 17.46% of the shares of that class and, of that, two ofSilchester's clients control 8.98% and 3.81%. This interest is being notified in fulfillment of theobligations imposed by Sections 198-202 of the Companies Act 1985. Silchester does not have an interestmentioned in Section 208(5) of the Companies Act 1985 in any of the shares to which this notificationrelates.
