DIRECTOR'S SHARE TRANSACTIONS

At a meeting of the Share Plans Committee of the Board of Halma plc held on 20 December 2012, 127,376 Halma shares were allotted to Adam Meyers, a Director of the Company, following the exercise of share options at the following prices:

94,980 shares at 134.00p per share; and

32,396 shares at 142.25p per share.

In order to finance the cost of the option exercise and tax liabilities relating to share plan transactions, Adam Meyers has today sold 109,000 shares at 456.67 pence per share.

After the above transactions, the beneficial holding of Adam Meyers in the ordinary shares of Halma increases to 267,268 shares (0.0707% of the issued ordinary share capital excluding treasury shares).

Following the issue of ordinary shares as a result of the share options exercise on 20 December 2012, the issued ordinary share capital of the Company, excluding treasury shares, is increased to 377,831,919 shares.
