Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons in accordance with Disclosure Rules 3.1.4R(1)(a).
The Company announces the following PDMRs of the Company have advised that they have exercised an option to purchase ordinary shares of 0.4p each in the Company ("Ordinary Shares") under the Company's Approved Executive Share Option Plan ("Approved scheme"). The exercise price was £1.95 per Ordinary Share and the options were originally granted on 24th March 2009 pursuant to the Hargreaves Lansdown Approved Executive Share Option Plan 2000.

The Ordinary Shares issued in respect of this exercise of options have been satisfied by way of transfer of Ordinary Shares from the Company's Employee Benefit Trust.
The Approved scheme exercises above are part of a larger employee exercise which has taken place from 24th March 2014. A total of 43 employees (including directors and PDMRs) were granted options under the scheme.
Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMRs.
